Corporate Governance

Corporate governance concerns the relationships between the Board of Management, the Supervisory Board and the General Shareholders' Meeting. Corporate governance relates to the soundness of the administrative organization and conduct that is considered to be good market practice. That includes integrity and transparency as well as the supervision thereof and being accountable for that supervision.

Eneco complies with the rules for good corporate governance as recorded in the Dutch Corporate Governance Code, with the exception of some rules which specifically relate to stock listed companies. Since Eneco is not listed on the stock exchange, a number of stipulations is not applicable to the company. In cases where no specific decree applies, the relevant best practice provisions are implemented.

There is also a deviation to fully privately owned organizations, since our activities are partially private and partially regulated. Eneco’s corporate strategy is such that the network manager can carry out its legal tasks in total freedom. The network manager is supervised by its own Supervisory Board, which for the majority consists of independent third parties.
